1. Acceptance
These terms are an agreement between you and TruNxt Tech Private Limited ("TruNxt", "we", "us"), a company registered in India with its office in Hyderabad, Telangana. They apply to the website at this address and to the Transure and Transure CA products (together, the "services").
By using the website or the services you accept these terms and our privacy policy. If you do not accept them, do not use the services. If you use the services on behalf of a company or a practice, you confirm you have authority to bind it, and "you" means that organisation.
2. The services
Transure is finance software for businesses. Transure CA is a practice portal for chartered accountants. Both run on a shared ledger, so data entered in one may be visible in the other to people you have authorised.
The services help you record, organise and review financial information. They do not provide accounting, tax, legal or investment advice, and output from the services, including anything produced by AI features, is not a substitute for the judgement of a qualified professional. You remain responsible for the accuracy of your books and for your statutory filings.
We may add, change or withdraw features. Where a change materially reduces what you are paying for, we will give you reasonable notice.
3. Accounts and access
You must give accurate details when you create an account and keep them up to date. You are responsible for everything done under your account, so keep your credentials confidential and tell us at once if you believe your account has been compromised.
You must be at least 18 years old to use the services. We may refuse, restrict or disable access to any part of the services at our discretion, including where we reasonably suspect misuse.
4. Acceptable use
You must not use the services in any way that is unlawful, that harms the services or other users, or that we have not authorised. In particular you must not:
- upload malware or anything else designed to damage, interfere with or gain unauthorised access to any system;
- probe, scan or test the security of the services without our written consent;
- scrape, crawl or extract data from the services by automated means, or use the services to build a competing product;
- send unsolicited commercial messages through the services;
- use the services to record transactions you know to be fraudulent or to evade tax or other legal obligations;
- share access with anyone who is not authorised under your account, or attempt to access another customer's data.
5. Your data and content
The financial records, documents and other material you enter into the services ("your data") belong to you. You give us a licence to store, process, back up and display your data, and to use it to provide and improve the services, including to train and run features such as bill capture and anomaly detection on your own account. We do not sell your data.
You are responsible for your data. You confirm that you have the right to enter it, that it does not infringe anyone's rights, and that entering it does not break any law. You can export your data at any time in open formats, and we will keep that option available for at least 30 days after your subscription ends.
6. Accountant access
If you are a business using Transure, you can invite a chartered accountant or firm to see your books through Transure CA. That person or firm can then read, export and download the records you give them access to. You can change or withdraw that access at any time.
If you are an accountant using Transure CA, you may only access a client's records with that client's authorisation, and you must handle the data in line with your professional obligations and applicable law. Your relationship with your client, including fees and engagement terms, is between you and them.
7. Fees and payment
Paid plans are billed in advance at the price shown when you subscribe, plus applicable taxes such as GST. Subscriptions renew automatically at the end of each billing period unless you cancel before renewal. Fees are non-refundable except where the law requires otherwise or we say so in writing.
If a payment fails or is overdue, we may suspend access after giving you notice. We may change prices for a subsequent billing period by notifying you at least 30 days in advance.
8. Intellectual property
The services, including the software, design, text, logos and the TruNxt, Transure and Transure CA names and marks, belong to us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the services for your own business or practice while these terms are in force. You may not copy, modify, reverse engineer, resell or create derivative works from the services except where the law expressly allows it.
You may view and print pages of the website for your own reference. You may not republish website content elsewhere without our written permission.
If you send us suggestions or feedback, we may use them without any obligation to you.
9. Third-party services
The services connect to third-party systems such as banks, payment providers and government portals. Those systems are governed by their own terms, and we are not responsible for their availability, accuracy or conduct. When you connect a third-party service, you authorise us to exchange data with it on your behalf as needed to provide the feature you asked for.
10. No warranties
The services are provided as they are and as available. To the fullest extent the law allows, we make no promises that the services will be uninterrupted, error-free or secure, that data will not be lost, or that the services will meet your particular needs. Any figures, forecasts or suggestions generated by the services are for your information only and must be checked before you rely on them.
11. Limitation of liability
To the fullest extent the law allows, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, data, goodwill or business opportunity, arising out of or in connection with the services, however it arises.
Our total liability to you for all claims in any twelve-month period is limited to the amount you paid us for the services in that period, or ₹10,000 if you paid nothing.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
You agree that these limits are reasonable given the nature and price of the services. Our directors, officers, employees and contractors benefit from these limits and you agree not to bring claims against them personally.
12. Indemnity
You will compensate us for any losses, costs, claims and expenses, including reasonable legal fees, that we suffer because you breached these terms or the law, or because of a claim by a third party arising from your data or your use of the services.
13. Suspension and termination
You can cancel your subscription at any time from your account settings or by writing to us. Cancellation takes effect at the end of the current billing period.
We may suspend or terminate your access if you breach these terms, if we are required to by law, or if you have not paid. Where practical we will warn you first. If we terminate without cause, we will refund any prepaid fees for the unused period.
After termination we will keep your data available for export for 30 days, after which we may delete it, except where we are required to retain it. Sections 5, 8, 11, 12 and 16 survive termination.
14. Changes to these terms
We may update these terms from time to time. We will post the new version here with a new "last updated" date, and where the change is material we will notify account holders by email at least 15 days before it takes effect. Continued use after that date means you accept the updated terms.
15. General
These terms, together with the privacy policy and any order form or plan you have agreed to, are the entire agreement between you and us about the services. If any part of these terms is found to be unenforceable, the rest continues in force.
You may not transfer your rights under these terms without our written consent. We may transfer ours to a successor or affiliate, and will tell you if we do. If we do not enforce a right immediately, we have not waived it.
Breach of these terms may result in suspension of your account, blocking of your network address or legal action, in addition to any other remedy available to us.
16. Governing law
These terms are governed by the laws of India. Subject to any right you have under consumer protection law, the courts at Hyderabad, Telangana have exclusive jurisdiction over any dispute arising from these terms or the services.
